Introduction & Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Intelligent Ignition, Inc., a corporation incorporated in the State of Delaware, United States ("Intelligent Ignition," "we," "us," or "our").
These Terms govern your access to and use of our website at intelligentignition.com (the "Site"), our Product Management as a Service ("PMaaS") offerings, all deliverables, written materials, templates, roadmaps, and any other services we provide (collectively, the "Services").
By engaging our Services, submitting an inquiry form, signing a service agreement, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
Description of Services
Intelligent Ignition provides fractional product management services to startups and growing companies. Our service plans — including Spark, Ignite, Blaze, and any custom engagements — deliver product management expertise, strategic guidance, and documented deliverables on a subscription or project basis.
Specific deliverables, cadences, hours, and scope for each plan are described on our Services page and in any applicable Statement of Work ("SOW") or Order Form. The description of services on our website constitutes a general overview only; binding scope is established in executed service agreements.
Service Limitations
Our Services do not include: software development, engineering implementation, legal or financial advice, recruiting or HR services, or any service not explicitly included in your active plan. We reserve the right to modify, update, or discontinue any service offering with reasonable notice to active clients.
Eligibility & Account Responsibilities
To use our Services, you must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent. By accepting these Terms, you represent and warrant that you meet these requirements.
You are responsible for maintaining the confidentiality of any credentials or access information associated with your account or engagement, and for all activities that occur under your account. You agree to notify us immediately via our legal inquiry form of any unauthorized use or suspected breach of security.
Fees, Billing & Payment
All subscription plans are billed on a flat-rate monthly basis as stated on our Services page at the time of purchase. Fees are due in advance on the first day of each billing cycle unless otherwise specified in an executed SOW.
Payment Terms
Payment may be made by:
- Our secure payment processor — by providing payment information you authorize us to charge the applicable fees each billing cycle. Payments processed through our payment processor may incur a processing fee of up to 3%, which will be disclosed at the time of payment.
- Bank transfer to our designated account.
- Check drawn on a U.S. bank, made payable to Intelligent Ignition, Inc.
Refund Policy
Due to the nature of professional services and the time and expertise committed upon plan activation, all fees are non-refundable unless otherwise required by applicable law or expressly agreed in writing. If you believe an error has occurred in billing, contact us within 30 days of the charge via our billing inquiry form.
Intellectual Property & Deliverable Ownership
Client-Owned Deliverables
Upon receipt of full payment for the applicable billing period, all work product, deliverables, roadmaps, PRDs, scorecards, strategy documents, and other materials specifically created for your engagement ("Client Deliverables") are owned by you. We believe your documents belong to you — always — and no subscription requirement exists to retain access to work already produced and paid for.
Intelligent Ignition Retained Rights
We retain all rights, title, and interest in and to our proprietary frameworks, methodologies, templates, processes, tools, know-how, and pre-existing intellectual property ("II IP"), including any general improvements to our methods arising from engagements. We grant you a limited, non-exclusive, non-transferable license to use II IP solely as incorporated into your Client Deliverables.
Site Content
All content on the Intelligent Ignition website — including text, graphics, logos, and design — is the property of Intelligent Ignition, Inc. and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
Confidentiality
Each party acknowledges that in the course of the engagement it may receive confidential, proprietary, or non-public information about the other party ("Confidential Information"). Each party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care used for its own confidential information (but no less than reasonable care); (b) use Confidential Information solely for the purposes of the engagement; and (c) not disclose Confidential Information to any third party without prior written consent, except as required by law.
These obligations do not apply to information that: (i) is or becomes publicly known through no wrongful act; (ii) was already known to the receiving party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is disclosed pursuant to a court order or applicable law, provided the disclosing party is given reasonable prior notice.
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services to engage in any activity that violates applicable local, state, national, or international law or regulation.
- Misrepresent your identity, affiliation, or the authority to bind a company to these Terms.
- Attempt to gain unauthorized access to any portion of our systems, networks, or data.
- Reverse engineer, decompile, or otherwise attempt to derive our proprietary methodologies or frameworks.
- Transmit harmful, unlawful, defamatory, obscene, or fraudulent content through any communication channel with Intelligent Ignition.
- Use our Services to benefit a direct competitor of Intelligent Ignition without our prior written consent.
We reserve the right to suspend or terminate access to Services immediately for material violations of this section.
Cancellation & Termination
Cancellation by Client
You may cancel your subscription at any time by providing written notice via our contact form at least 14 calendar days before your next billing renewal date. Cancellations received after this window will take effect at the end of the subsequent billing period. No partial-month refunds are issued.
Termination by Intelligent Ignition
We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, for: (a) material breach of these Terms not cured within 5 business days of written notice; (b) non-payment of fees; (c) conduct that we reasonably believe is harmful to other clients, our team, or our business; or (d) as required by applicable law.
Effect of Termination
Upon termination: all licenses granted to you under these Terms will cease; any outstanding balances become immediately due; and both parties will remain bound by provisions that by their nature should survive termination, including but not limited to Sections 5, 6, 9, 10, and 12.
Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Intelligent Ignition does not warrant that the Services will meet your specific business objectives, that deliverables will produce any particular commercial outcome, or that any guidance provided constitutes legal, financial, or investment advice. All strategic recommendations are professional opinions based on available information and should be evaluated independently.
We do not guarantee uninterrupted or error-free access to the Site or any digital tools used to deliver Services.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INTELLIGENT IGNITION, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE TOTAL FEES PAID BY YOU TO INTELLIGENT IGNITION IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you to the extent prohibited by law.
Indemnification
You agree to defend, indemnify, and hold harmless Intelligent Ignition, Inc. and its officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content, data, or information you provide to us in connection with the Services.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Informal Resolution
Before initiating any formal legal action, you agree to first contact us via our legal inquiry form and attempt to resolve the dispute informally. We will work in good faith to resolve most concerns within 30 days.
Binding Arbitration
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, with proceedings conducted in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver
You and Intelligent Ignition each waive the right to participate in a class action, collective action, or representative proceeding. All claims must be brought on an individual basis only.
Jurisdiction for Non-Arbitrable Claims
For any dispute not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.
Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will update the "Effective Date" at the top of this page and, where feasible, notify active clients via email at least 14 days before the changes take effect.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
Miscellaneous
- Entire Agreement. These Terms, together with any executed SOW, Order Form, or service agreement, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements relating to the Services.
- Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
- Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, government actions, or internet service disruptions.
- No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between the parties.
- Notices. Legal notices to Intelligent Ignition must be submitted via our legal inquiry form or by certified mail to our registered Delaware address on file.
